STANDARD TERMS AND CONDITIONS OF SALE

These Terms & Conditions for Sale ("T&C") apply to all sales, supplies, and transactions conducted by Om Agro Fresh. By purchasing from Om Agro Fresh, the Buyer agrees to fully accept and comply with these Terms & Conditions.
1. Definitions
Company / Seller: Om Agro Fresh
Buyer / Customer: Any individual, firm, retailer, wholesaler, or legal entity purchasing products from Om Agro Fresh
Products: Fresh fruits, vegetables, and related agricultural products
Order: Any written, verbal, digital, or electronic purchase request placed by the Buyer
2. Scope of Sales
Om Agro Fresh is engaged in the wholesale and bulk supply of fresh fruits and vegetables. As the products are natural agricultural commodities, variations in size, weight, color, appearance, and quality may occur.
3 Order Placement & Confirmation
Orders may be placed via phone, WhatsApp, email, or written communication.
An order shall be considered valid only after confirmation by Om Agro Fresh.
The Company reserves the right to accept or reject any order at its sole discretion without assigning any reason.
4. Pricing & Payment Terms
All prices are subject to change based on market conditions.
Prices are exclusive of GST or other applicable taxes, unless stated otherwise.
Accepted payment modes include Cash, UPI, Bank Transfer, or any mutually agreed method.
Advance payment or immediate payment may be required.
Credit facilities, if any, shall be granted only with written approval from the Company.
In case of delayed payment, the Company reserves the right to charge interest, suspend future supplies, or take appropriate recovery actions
5. Delivery & Transportation
Delivery location and schedule shall be as agreed at the time of order confirmation.
Transportation costs shall be borne by the Buyer unless otherwise agreed in writing.
Risk of loss, damage, or spoilage transfers to the Buyer upon delivery.
The Company shall not be liable for delays caused by weather conditions, strikes, traffic issues, government regulations, or other force majeure events.
6. Quality, Inspection & Acceptance
The Company supplies products in fresh and best-possible condition at the time of dispatch.
The Buyer has the right to inspect the products at the time of delivery.
Any quality-related complaint must be reported on the same day of delivery or within a maximum of 24 hours.
Complaints reported after this period shall not be entertained.
7. Returns, Replacement & Refund Policy
Due to the perishable nature of fresh agricultural products, returns are generally not permitted.
In case of genuine quality issues, replacement or partial refund may be considered after inspection and approval by the Company.

8. Weight, Packing & Shortage
Weights are measured using standard weighing instruments at the time of packing.
Minor variations of approximately ±2–5% shall be considered acceptable.
Packing material costs (such as crates, boxes, or sacks) may be charged separately.
9. Cancellation Policy
Cancellation of confirmed orders may attract cancellation charges or penalties.
Orders cannot be cancelled once harvesting, packing, or dispatch has commenced.
10. Force Majeure
The Company shall not be held liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural calamities, floods, fire, pandemics, government restrictions, or transportation disruptions.
11. Limitation of Liability
Om Agro Fresh shall not be liable for any indirect, incidental, consequential, or business losses, including loss of profit.
The Company’s maximum liability, if any, shall be limited to the invoice value of the supplied goods.
12. Compliance with Laws
The Buyer shall comply with all applicable food safety, storage, handling, and resale laws and regulations. Any loss or damage arising from improper storage or handling after delivery shall be the sole responsibility of the Buyer.
13. Dispute Resolution & Jurisdiction
Both parties shall attempt to resolve disputes amicably through mutual discussion.
In the event of legal proceedings, Indian laws shall apply.
Jurisdiction shall lie exclusively with the competent courts in India, as per the Company’s registered location.
14. Amendments
Om Agro Fresh reserves the right to modify or update these Terms & Conditions at any time without prior notice. Revised terms shall be applicable to future transactions.
5. Acceptance of Terms
Placing an order or purchasing products from Om Agro Fresh shall be deemed as unconditional acceptance of these Terms & Conditions by the Buyer.
